Change of ownership agreement for One Click Actions

This Change of Holder Agreement (“Agreement”) sets forth the terms and conditions between One Click Actions (“Registrar”) and the parties involved in the transfer process of a registered domain name, either the current domain name holder (“Holder”) or the new holder. This Agreement ensures compliance with ICANN international regulations and German law.


1. definitions

  • Current holder: The person or organization that owns the domain name and requests the transfer of ownership.
  • New holder: The person or organization assuming ownership of the domain.
  • Registrar: One Click Actions, an authorized service provider for domain registration and management.
  • ICANN: Internet Corporation for Assigned Names and Numbers, the international supervisory authority for domain names.
  • Change of ownership: The process of changing the ownership of a domain name from the current owner to a new owner.

2 Scope of the agreement

This agreement applies to all requests to change ownership of domains managed by One Click Actions. Both parties involved must agree to the terms of this agreement before the process can begin.

3. procedure for change of ownership

  • Formal request: The current holder must submit a formal request to One Click Actions to notify the intention to transfer the domain name.
  • Consent of both parties: The current owner and the new owner must expressly agree to the transfer, in accordance with ICANN regulations and German law.
  • Identity verification: One Click Actions can request official documents to verify the identity of both parties to ensure the legality of the procedure.
  • Confirmation of ownership: One Click Actions confirms that the domain is eligible for transfer and that there are no legal or contractual conflicts.

4. conditions for the change of ownership

  • Blocking period: A change of ownership is not permitted if the domain has been registered or transferred in the last 60 days, unless ICANN exceptions apply.
  • Compliance with ICANN policies: Any change of ownership must comply with ICANN regulations and One Click Actions’ internal policies.
  • Domain status: The domain must be active and must not have any administrative, legal or ICANN locks that could affect the transfer.

5. fees and payments

  • Transfer fees: Administrative fees may apply for the change of bearer, which will be communicated before the procedure begins.
  • Refund policy: If the change of bearer request is canceled after payment, no refund will be made.

6. responsibilities of the current owner

  • Ownership guarantee: The current owner guarantees that he is the legal owner of the domain and that it is free of legal disputes or encumbrances.
  • Truthful information: All information provided for the transfer process must be truthful and up to date.
  • Agreement to the policies: The current holder accepts the terms of One Click Actions and the ICANN policies for this transfer.

7 Obligations of the new owner

  • Acceptance of the conditions: The new owner accepts the privacy policy and terms of use of One Click Actions and complies with ICANN requirements.
  • Up-to-dateness of contact details: The new owner undertakes to keep his contact details up to date at all times in accordance with international regulations.

8. security and data protection

  • Data protection regulations: One Click Actions complies with German data protection laws (DSGVO) and the data of both parties will be treated confidentially.
  • Fraud protection: Security measures are taken to prevent fraudulent transfers, including identity checks and authorizations from both parties.
  • Privacy policy: One Click Actions undertakes to only pass on personal data of the parties involved if required by law.

9. limitation of liability

One Click Actions shall not be liable for any direct, indirect, incidental or consequential damages resulting from delays, failures or interruptions in the transmission process caused by third parties or circumstances beyond the control of One Click Actions.

10. non-compliance with the conditions

  • Suspension of the process: If either party breaches the terms of this agreement, One Click Actions reserves the right to suspend the transfer process.
  • Handling of violations: Any attempt to violate this Agreement will be handled in accordance with internal policies and ICANN regulations.

11 Applicable law and place of jurisdiction

  • Governing Law: This Agreement shall be governed by and construed in accordance with the laws of Germany.
  • Place of jurisdiction: All disputes in connection with this agreement shall be heard by the competent courts in Frankfurt am Main, Germany.

12. amendments to the agreement

One Click Actions reserves the right to change this agreement at any time. Changes will be posted on the official website and continued use of our transmission services implies acceptance of the amended terms.

13. approval of the agreement

By applying for a change of ownership, both the current owner and the new owner agree to the terms of this agreement and confirm their understanding.
